These Terms of Service ("Terms") form a binding agreement between you and Orbyt Social, Inc. ("Orbyt Social, Inc.," "we," "us," or "our") governing your use of the Orbyt Social mobile application, the website at orbytsocial.com, and related services (collectively, "Orbyt" or the "Service").
Orbyt is a professional network — a place for creators, builders, and professionals to share what they know, find work and collaborators, and learn from each other. We've tried to write these Terms in plain language so you actually know what you're agreeing to.
By creating an account or using the Service, you agree to these Terms, to our Community Guidelines, and to our Privacy Policy. If you do not agree, do not use the Service.
2. Who Can Use Orbyt
Orbyt is an adults-only platform. To use it, all of the following must be true:
- You are at least 18 years old. We do not knowingly permit anyone under 18 to use the Service, and we may remove accounts we believe belong to a minor.
- We have not previously terminated your account or banned you — unless you have our written permission to return.
- You have the legal capacity to enter into this agreement, and using the Service does not violate any law that applies to you.
3. Your Account
- Be real. Orbyt is built on real professional identities. Provide accurate information and keep it up to date. Impersonating another person, organization, or entity is not permitted.
- Keep your credentials safe. You are responsible for maintaining the confidentiality of your authentication credentials and for all activity that occurs under your account.
- You may operate more than one account (for example, a personal account and a company-managed account), provided you do not use them to circumvent these Terms or to evade enforcement.
- Notify us at support@orbytsocial.com immediately if you become aware of any unauthorized use of your account.
4. How Orbyt Is Funded
Orbyt offers paid subscriptions and paid features. Here's how that works, and what it means for you:
- Where you pay. Paid features — including paid newsletters and creator subscriptions — are sold through in-app purchase. All purchases on iOS are processed by the Apple App Store; all purchases on Android are processed by Google Play. Their respective terms apply to the transaction.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price unless cancelled at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your Apple ID or Google Play account settings.
- Refunds. Refunds are handled by Apple or Google in accordance with their refund policies; we are not able to issue refunds directly for in-app purchases.
- Free trials. If a subscription includes a free trial, the trial converts to a paid subscription at the end of the trial period unless you cancel beforehand.
- Creator payouts. If you receive payments as a creator, payout terms, taxes, and identity verification are handled by our payments partner under a separate agreement.
- We do not sell your content. We are funded by subscriptions, not by selling the things you post. We will never use your content in third-party advertising without your consent (see Section 6).
5. What You Can Share & Do
Your use of the Service is governed by our Community Guidelines, which describe in plain English what is and is not allowed and how we enforce. These Terms incorporate those Guidelines by reference. In particular, you agree not to use the Service to create, post, share, or otherwise distribute any content or take any action that:
- Is unlawful, defamatory, libelous, or fraudulent.
- Is sexually explicit, pornographic, or sexually exploits any person, especially minors. Any content that sexualizes a minor will be reported to the appropriate authorities. See our Child Safety Standards.
- Promotes, glorifies, threatens, or incites violence, terrorism, or self-harm.
- Constitutes harassment, bullying, hate speech, or discrimination based on race, ethnicity, national origin, religion, gender identity, sexual orientation, disability, or any other protected characteristic.
- Shares — or threatens to share — intimate images of someone without their consent.
- Misrepresents who you are or your professional background, or uses synthetic or manipulated media in a way that's likely to deceive and cause harm.
- Infringes any patent, trademark, trade secret, copyright, right of publicity, or other intellectual property right.
- Is misleading, deceptive, or constitutes spam, scams, or coordinated inauthentic behavior, including artificially inflating followers, likes, reviews, or endorsements.
- Distributes malware, viruses, or other malicious code, or attempts to compromise the security or integrity of the Service.
- Reverse-engineers, decompiles, scrapes (other than via documented APIs), or interferes with the Service.
- Violates the privacy of others, including doxxing or sharing private information without consent.
- Promotes illegal goods, services, or activities.
We may, at our discretion, remove content that violates these Terms or our Community Guidelines, suspend or terminate accounts, and report illegal activity to law enforcement.
6. Your Content & the License You Grant Us
You keep ownership
You retain all ownership rights in the content you create, post, or share through the Service ("User Content"). It's yours.
The license you grant us
So that we can actually run Orbyt, you grant Orbyt Social, Inc. a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for example, for resizing, transcoding, or formatting), create derivative works of (for example, previews, thumbnails, or translations), publish, publicly display, publicly perform, and distribute your User Content — solely to operate, provide, improve, and promote the Service.
This license ends when you delete the content or your account. The only exceptions are copies already shared with or retained by other users who interacted with your content before you removed it, residual copies in routine backups, and copies we are required to keep by law.
We honor your audience and visibility settings. This license never overrides the privacy or audience controls you choose — if you limit who can see something, that limit applies to us too.
No third-party ads without your consent. We will not use your User Content, name, or likeness in advertising sold to third parties without your consent.
Your promises about your content
You represent and warrant that you own or have all necessary rights to your User Content, that posting it does not infringe any third party's rights (including intellectual property and privacy rights), and that it complies with these Terms and applicable law.
We don't endorse what others post
User Content does not reflect the views of Orbyt Social, Inc. We do not pre-screen or endorse User Content and are not responsible for it.
7. AI Features (Orbee)
Orbyt includes AI-assisted features, including our AI assistant, Orbee. Two things matter most here:
- We do not use your content to train AI models. We do not use your posts, messages, images, audio, or prompts to train our own machine-learning models.
- Our AI provider can't either. AI features run on Google's paid API under terms that prohibit Google from using your prompts or the generated responses to train its models.
When you use Orbee, our Community Guidelines still apply — don't use AI features to generate prohibited content, impersonate others, or produce deceptive synthetic media. For the full detail on how AI features handle your data, see our Privacy Policy.
8. Intellectual Property & DMCA
If you believe content on the Service infringes your copyright, send a notice that complies with the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512) to copyright@orbytsocial.com with: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the allegedly infringing material and information sufficient for us to locate it; (d) your contact information; (e) a statement of good-faith belief that the use is unauthorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act. We respond to valid notices and may terminate the accounts of repeat infringers.
9. Content Moderation, Reports & Takedowns
- We use automated systems to classify content for objectionable material. Content that is flagged may be hidden, removed, or refused upload.
- Anyone may report content that they believe violates these Terms by long-pressing the content in-app and selecting Report.
- We aim to review reported content and act on confirmed violations within 24 hours of receipt. Action may include removal of the content, warnings, suspension, or termination of the responsible account.
- We tell you why, and you can appeal. When we remove your content or restrict your account, we tell you which rule was involved. If you believe we got it wrong, contact support@orbytsocial.com from your account's email with the content identifier and a brief explanation, and we will review the decision. Some decisions — those involving illegal content or imminent safety concerns — are not appealable.
- We may preserve and disclose information to law enforcement where required by law or to protect users from imminent harm.
10. Termination & Enforcement
- You may delete your account at any time from Settings → Account or by contacting support.
- We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms or applicable law, if doing so is necessary to protect our users or the Service, or if your account has been inactive for an extended period.
- Upon termination, your license to use the Service ends and we will handle your data as described in our Privacy Policy.
- Sections that by their nature should survive termination — including the residual User Content license, Indemnification, Disclaimers, Limitation of Liability, and Governing Law & Dispute Resolution — will survive.
11. Disclaimers; Limitation of Liability
Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components, or that any defects will be corrected.
The Service may contain links to or integrations with third-party services, including authentication providers, app stores, and content embeds. We are not responsible for third-party services, and their use is governed by their own terms and privacy policies.
Limitation of liability
To the fullest extent permitted by law, Orbyt Social, Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred United States dollars (USD $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the limitations above apply only to the extent permitted by law.
Indemnification
You agree to indemnify and hold harmless Orbyt Social, Inc. and its officers, directors, employees, and agents from any claim, demand, damages, or losses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.
Disputes between users; release
Orbyt is a platform for connecting with other people and organizations. We are not a party to, and are not responsible for, interactions between users — including messages, introductions, mentorship and Expert sessions, job postings and hiring, payments arranged off-platform, or meetings that take place online or in person. To the fullest extent permitted by law, you release Orbyt Social, Inc. and its officers, directors, employees, and agents from any claim, demand, or damages of every kind arising out of or connected with any dispute between you and another user or third party.
Assumption of risk
You use the Service, and interact with other users, at your own risk. You are responsible for evaluating, and you bear all risks associated with, the accuracy or usefulness of any content, the conduct of other users, and any decision to meet, hire, engage, pay, or rely on another user. We do not vet, endorse, or guarantee any user, job, opportunity, or content.
12. Governing Law & Dispute Resolution
Please read this section carefully. It affects how disputes between you and Orbyt Social, Inc. are resolved: it requires most disputes to be settled by binding individual arbitration instead of in court, and it waives your right to a jury trial and to participate in class actions. You may opt out of arbitration within 30 days as described below.
Governing law
These Terms are governed by the laws of the State of Delaware, where Orbyt Social, Inc. is incorporated, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. For any claim not subject to arbitration, you and Orbyt Social, Inc. submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
Informal resolution first
Before starting an arbitration, you agree to first contact us at support@orbytsocial.com and describe the dispute so we can try to resolve it informally. You and Orbyt Social, Inc. agree to make a good-faith effort to resolve the dispute for at least 60 days after that notice. If it is not resolved within that period, either party may begin arbitration.
Agreement to arbitrate
You and Orbyt Social, Inc. agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through final and binding individual arbitration, rather than in court, except as stated below. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect (including the AAA's Mass Arbitration Supplementary Rules where applicable). Judgment on the award may be entered in any court of competent jurisdiction.
Class-action and jury-trial waiver
All claims must be brought in your or our individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding. You and Orbyt Social, Inc. waive any right to a jury trial.
Exceptions
Either party may still (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or other equitable relief in court to stop actual or threatened infringement or misuse of intellectual property or unauthorized access to the Service. These claims are not subject to the arbitration requirement.
Your right to opt out of arbitration
You may opt out of the arbitration agreement and class-action waiver within 30 days of first accepting these Terms by emailing support@orbytsocial.com with your name, the email address on your account, and a clear statement that you want to opt out of arbitration. Opting out does not affect any other part of these Terms.
Coordinated or mass filings
If 25 or more similar arbitration demands are filed by or with the assistance of the same or coordinated counsel, they will be administered in staged batches under the AAA's Mass Arbitration Supplementary Rules to allow efficient resolution, and the time limit for unfiled demands will be paused while the batches proceed.
Time limit to bring a claim
To the extent permitted by law, any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after the claim arises; otherwise it is permanently barred.
Severability of this section
If the class-action and jury-trial waiver above is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may be brought in court, while the rest of this section continues to apply. If any other part of this section is found unenforceable, it will be severed and the remainder will stay in effect.
Consumers in the EEA, UK, and other regions
Nothing in this section removes any mandatory consumer protection that cannot be waived under the law of your country of residence. If your local law gives you the right to bring proceedings in your local courts or to contact a consumer-protection authority, that right is preserved, and the arbitration and waiver provisions above apply only to the extent your local law allows.
13. Changes to These Terms; Contact
We may update these Terms from time to time. When we make material changes, we will revise the "Last Updated" date and provide notice through the Service or by email. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms.
Other terms that may apply
Apple App Store. If you obtained the Orbyt iOS app from the Apple App Store, the following additional terms apply: (a) these Terms are between you and Orbyt Social, Inc. only, not Apple; (b) Apple is not responsible for the Service or its content; (c) you may use the iOS app only on Apple-branded devices you own or control and as permitted by the Apple Media Services Terms; (d) Apple is not responsible for maintenance, support, or warranty claims; (e) Apple is not responsible for product or third-party intellectual-property claims; and (f) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
- Entire agreement. These Terms, together with our Privacy Policy and Community Guidelines, are the entire agreement between you and Orbyt Social, Inc. regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
